Risk Disclosure Statement
Version 1.0 · effective 8 October 2026
1. Purpose of this statement
This statement explains the main risks of trading futures and other leveraged instruments and the specific risks of using trade copying software across several accounts. It forms part of your contract with Replica Technologies S.R.L. ("Replica") and should be read together with the Terms of Service. Please read it before you connect a live, evaluation or funded account.
2. Trading risks
Trading futures and other leveraged instruments involves a high risk of loss and is not suitable for everyone. You may lose all of the capital committed and, in some circumstances, more than the amount deposited with your broker. You should trade only with money whose loss would not affect your financial security, your obligations or your standard of living.
Leverage amplifies both gains and losses: a small price movement can produce a loss much larger than your initial margin. Prices can move sharply and without warning, particularly around economic announcements, at the market open or in periods of low liquidity. Markets can gap through price levels, and orders, including stop orders, may be filled at a worse price than requested, only in part, or not at all. In fast or thin markets you may be unable to open or close a position when you want to.
No strategy, indicator or automated tool can guarantee a profit or protect you against losses. Past results, real or simulated, are not a reliable indicator of future results.
3. What Replica is and what it is not
Replica is software that copies the orders filled in a leader account you hold or control to follower accounts you hold or control, according to the settings you choose. Replica does not decide what, when or how much you trade, does not generate or distribute trading signals, does not recommend traders, strategies or instruments, does not manage portfolios, does not receive or transmit orders on behalf of other persons and has no access to your funds. Replica is not an investment firm and does not provide investment services or ancillary services within the meaning of Law no. 126/2018 on markets in financial instruments.
Nothing on our website, in the software, in our documentation, on our Discord server or in communications with our team is investment advice, a personal recommendation or an assurance of any result. Before you start trading you may wish to consult a professional adviser authorised in your country, who can assess whether trading is suitable for your circumstances.
4. Risks specific to trade copying
Because the software replicates each fill across several accounts at once, an error in the leader account, a wrong multiplier or contract setting, or a connection problem can affect every connected account at the same time.
Follower accounts receive market orders only after the leader's order has been filled. Their fill prices may therefore differ from the leader's price, especially in fast markets or when the leader used a limit order. Take-profit and stop-loss orders are handled as follows: a Tradovate follower of a Tradovate leader receives the same native bracket (take-profit and stop-loss linked at the broker); every other follower holds at most one simple protective order (a stop or a limit), and otherwise is closed by a market order when the leader's exit fills. If the leader's order is filled but a follower's order is rejected, delayed or only partly executed, positions may diverge until the situation is corrected.
By design, the software declines to copy an order when it cannot reliably read the state of a follower account, and a follower that missed a fill is not filled later on another trade. These safeguards reduce the risk of blind trades, but they mean that a follower may be left out of a trade that the leader took.
The software runs on your own computer. It copies trades only while it is open and connected, and its operation depends on your hardware, operating system, internet connection and power supply, as well as on the availability and rules of your brokers and platforms. A broker may end a session, limit the number of simultaneous logins or change its interface without notice.
The rules you record in the Risk Management section (daily profit target, daily loss limit, number of trades, maximum contracts, blocked symbols) only monitor your accounts unless you switch on "Enforce" for an account, which is off by default. With Enforce on, the software cancels working orders and closes positions when a rule is reached, as described in clause 9.2 of the Terms of Service. Enforcement works only while the software is running and connected, and only if your broker accepts the orders; it can be late or fail. The real limits of your accounts are enforced only by your broker or proprietary trading firm.
5. Evaluation and funded accounts
Proprietary trading firms may restrict or prohibit copy trading, trading the same strategy across several accounts, automated trading or the use of third-party software, and may change those rules at any time. A copier error, a desynchronisation or a setting that breaches the firm's rules can cost you the evaluation, the funded account or a payout. Before connecting such an account you must check the firm's current rules. A reference on our website to a firm or platform describes technical compatibility only and does not mean that the firm allows copy trading on your account.
6. Your responsibilities
You are responsible for configuring the software correctly, testing your setup on a demo account or with a minimum position before using it on live or funded accounts, and monitoring your accounts, positions and working orders while copying is active, so that you can intervene directly on your broker's platform whenever necessary. You are also responsible for complying with the laws and regulations that apply to your trading in your country, including tax obligations.
7. Regulatory context
Futures trading may be supervised, depending on where you live and how you trade, by authorities such as the Financial Supervisory Authority (ASF) in Romania, other national competent authorities in the European Union, or the Commodity Futures Trading Commission (CFTC) and the National Futures Association (NFA) in the United States. It is your responsibility to know and comply with the rules that apply to you.
8. Simulated results and testimonials
Figures, charts, videos and examples shown on our website or in the software may be simulated or illustrative. Simulated results are prepared with hindsight, involve no financial risk and cannot fully reflect real market conditions such as liquidity, slippage or the discipline needed to follow a strategy through losses. No representation is made that any account will achieve results similar to those shown. Testimonials or reviews reflect the experience of individual users, may not be representative and are not a guarantee of future results.
9. Acknowledgement
By using Replica you confirm that you have read and understood this statement and that you are responsible for your own trading decisions and for the configuration and supervision of your accounts. Replica's liability in connection with the Service is governed by Section 11 of the Terms of Service. Replica is not liable for trading losses resulting from market movements or from your own decisions and settings, and nothing in this statement limits the rights you have as a consumer under mandatory law.
